What Is Article 37 Filing? SAFE Registration for Offshore SPVs

Reviewed by Dilys Deng · ICPA Chartered AccountantLast reviewed: 2026-10-18
SHORT ANSWER

Article 37 refers to SAFE Circular Huifa [2014] No.37: Chinese residents who establish or control offshore SPVs for investment or financing must register with SAFE through a domestic bank, enabling legal cross-border fund flows.

Article 37 registration is the individual counterpart of ODI. Under SAFE Circular Huifa [2014] No.37, Chinese mainland residents who set up or control offshore special purpose vehicles (SPVs) — typically BVI/Cayman/HK holding companies for red-chip structures or personal investments — must register with SAFE. Registration is processed through the domestic bank where the resident's assets or equity are located. With registration, profits, share transfers, and capital returns from the SPV can legally flow back to the individual. Without it, those flows are blocked and can be treated as illegal forex activity. Founders of red-chip listing structures must complete 37 registration before the listing-related restructuring.
