Article 37 Filing: Documents and Process

Reviewed by Dilys Deng · ICPA Chartered AccountantLast reviewed: 2026-10-18
SHORT ANSWER

Article 37 registration requires identity documents, proof of domestic assets or equity, the SPV's corporate documents, and a statement of the investment/financing purpose, submitted through the domestic bank to SAFE.

Standard Article 37 package: (1) applicant's ID and household registration; (2) proof of domestic residency and assets/equity backing the SPV (business licenses, shareholding certificates); (3) SPV corporate documents (certificate of incorporation, share certificates, director appointments); (4) description of the SPV's purpose and planned investment/financing activities; (5) financing agreements if applicable. The application goes through the domestic bank's forex desk to SAFE; processing takes about 2-4 weeks with clean paperwork. Key practical point: the domestic asset connection must be genuine — pure offshore stories without domestic substance face rejection.
