Choose Your Structure

WFOE or Joint Venture?

The two most common vehicles for foreign investors. Most wholly foreign-owned operations choose a WFOE; joint ventures suit sectors where a local partner is required or advantageous.

WFOE

  • 100% foreign ownership and full control
  • No local partner required
  • Profits can be repatriated after tax
  • Suitable for consulting, trading and most service sectors
  • Setup typically 4–8 weeks

Joint Venture

  • Local partner contributes market access or licences
  • Useful in restricted or encouraged sectors
  • Governance and profit split defined in the JV contract
  • Often faster access to local distribution channels
  • Setup timeline depends on negotiation

FAQ

Common questions

How long does it take to set up a WFOE in China?
Setting up a Wholly Foreign-Owned Enterprise typically takes 4 to 8 weeks. This covers name pre-approval, MOFCOM filing, business licence issuance, seal carving, tax registration and foreign exchange registration. Timelines vary by city and by whether the business scope falls within a restricted category.
What is FDI registration and is it required?
FDI registration is the process by which a foreign investor registers inbound investment with China's Ministry of Commerce and the State Administration for Foreign Exchange. It is required before capital can be legally remitted into China and before a foreign exchange capital account can be opened.
Can a foreign company open a corporate bank account in China?
Yes. A foreign-invested enterprise registered in China can open both an RMB basic account and a foreign currency capital account. Banks require the business licence, company seals, FDI registration certificate and legal representative documentation. Opening is normally completed within 2 to 4 weeks after the licence is issued.
What are the main costs of setting up a company in China?
Government fees for registration are typically under RMB 1,000. The main cost is professional service fees, which vary by city, business scope and whether special licences are required. Recurring costs include registered address, bookkeeping and annual compliance filings.
Do I need to be physically present in China?
In many cities, foreign investors do not need to be present for registration. Documentation can be notarised and legalised overseas and submitted by a local agent. However, the legal representative is usually required to attend in person for corporate bank account opening.
