What Happens If You Invest Overseas Without ODI Filing?

Reviewed by Dilys Deng · ICPA Chartered AccountantLast reviewed: 2026-10-18
SHORT ANSWER

Without ODI filing, banks will not process the outbound investment funds; returns repatriated to China face forex blocks and tax complications; and the company risks penalties under foreign exchange regulations.

Consequences of skipping ODI: (1) Banks refuse or freeze outbound transfers — no legal channel for investment capital. (2) Future profit repatriation becomes nearly impossible through legitimate channels; dividends from the overseas entity get stuck offshore. (3) SAFE penalties for illegal foreign exchange activity can reach 30% of the amount involved or more in serious cases. (4) The overseas entity cannot be consolidated legally in group accounting, complicating audits, financing, and eventual exit. (5) AEOI/CRS data flows now expose unregistered structures. Remediation is possible in many cases but costs more than doing it right initially.
