Every foreign-invested entity carries four FX/FDI registrations: the FDI information report (merged into SAMR registration), SAFE capital-account opening, foreign-debt registration if borrowing, and profit-repatriation filings. Getting the capital-structure choices right upfront is what keeps dividends and capital flows unblocked later.
The four registrations
- FDI information report — submitted with SAMR registration; yearly amendment duty when data changes
- SAFE basic information registration — capital account, capital-contribution account and settlement rules (2026 rules ease voluntary conversion of inflows)
- Foreign-debt registration — if the parent lends: macro-prudential quota (typically 2x net assets) or the cross-border financing macro parameter route
- Profit repatriation — board resolution, audit report, tax prepayment of the 10% dividend WHT (or 5% treaty), and the reinvestment incentive if recycling
Why sequencing matters
Capital must arrive through the registered capital account and be settled per declared use — a wrong scope word or missing SAFE amendment freezes the inflow mid-deal. We file once, correctly, and keep the annual amendments on a compliance calendar.
