Most dividend delays fail on paperwork, not tax rates. Run the 6 checkpoints before planning any distribution.
Bonus: reinvesting China profits into qualifying direct investments earns a 10% tax credit on the reinvested amount (2025–2028) — model it before distributing.
1. CIT settled. Standard rate 25%. Small and low-profit enterprises enjoy an effective 5% on taxable income up to RMB 3 million (policy confirmed through 2027). No distribution before the annual CIT reconciliation closes.
2. Statutory reserve funded. 10% of after-tax profit goes to the statutory reserve each year until it reaches 50% of registered capital. The most forgotten checkpoint in practice.
3. Annual audit done. PRC-GAAP audit by a licensed Chinese CPA firm. Banks request the report at every dividend review; a stale audit means a stalled wire.
4. Withholding tax analyzed. 10% standard on outbound dividends; 5% under the China–HK / China–Singapore arrangements (≥25% holding + beneficial owner per STA Announcement No. 9 of 2018). Decide your position before the resolution, not after.
5. Bank pack assembled. Written shareholder resolution, audit report, tax payment certificates, remittance application, and proof of the beneficiary account. Amounts and names must match across every document.
6. Treaty relief filed where required. If you claim 5%, keep the beneficial-owner analysis and supporting documents — tax bureaus can challenge the position years later.
Foreign investors who reinvest China-sourced profits into qualifying direct investments (new capital injection, expansion, or equity acquisition — not listed shares) can claim a 10% tax credit on the reinvested amount for the 2025–2028 window. If you're expanding in China anyway, reinvesting before distributing can be materially cheaper than distributing first.
4–8 weeks with clean books. The audit and CIT settlement dominate the timeline — start them early in the year, not after the resolution.
No. It applies at filing if you hold ≥25% through a HK/Singapore company and can evidence beneficial ownership — active business substance, not a conduit.
Yes. Interim distributions are possible but require the same discipline: audit-grade accounts, tax settled, resolution passed. Most banks still ask for the latest annual audit.
Name mismatches between resolution and beneficiary account, stale audits, and undocumented treaty claims. All avoidable.
