Selling Software into China (2026) — ICP, Data & Market Access for SaaS

SHORT ANSWER

SaaS faces three gates: market access (value-added telecom restrictions/pilots), ICP filing or license for in-China services, and data rules (PIPL/DSL for Chinese user data; cross-border transfer mechanisms). Many vendors start with offshore SaaS + China CDN mirror, then localize via a WFOE plus ICP when revenue justifies.

Decision ladder: (1) Sell from offshore to Chinese customers — legal, but latency and enterprise procurement prefer local entities and local hosting; (2) WFOE + ICP filing (informational) or EDI/ICP commercial license (transacting platform) — value-added telecom follows negative-list caps with 2026 pilots widening in FTZs; (3) Data — if you process Chinese personal data: PIPL notices/consent in Chinese, cross-border transfer via SCC/security assessment, consider in-region hosting; (4) Content/product compliance — app store rules, algorithm filing for recommendation systems, and (for AI features) the generative-AI measures. Enterprise sales need fapiao — without a China entity, expect resellers to take margin.
