Can a Foreigner Own 100% of a Chinese Company?

China Entry One-Stop  ·  Reviewed by Dilys Deng · ICPA  ·  2026-10-18
QUICK ANSWER

Yes in most sectors. The 2026 negative list restricts foreign ownership in only 29 areas nationally (fewer in free-trade zones); manufacturing is now fully open. Restricted sectors use JV structures with defined caps.

Ownership follows the negative list: if your sector is not on it, a WFOE gives you 100% ownership with full profit-repatriation rights. Restricted areas include basic telecom, certain education and medical sub-sectors (though wholly foreign-owned hospitals now run in nine pilot areas), news media and rare-earth processing. A single foreign individual can be the sole shareholder — this is also the standard vehicle for relocating independents, because China has no freelancer visa.
